Eligibility: Giveaway (the “Giveaway”) is open only to those who are legal residents of the United States of America, are currently residing in one of the fifty states of America or the District of Columbia (Alaska, Puerto Rico, the U.S. Virgin Islands, and Guam are not included nor eligible), are of the age of majority or greater in their respective state, and enter the Giveaway via the methods discussed in the “Methods of Entry” section. Officers, members and employees of Efficacious Advertising LLC (the “Sponsor” and “Administrator”), their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers, dealers, licensees, distributors, and their immediate family members and/or those living in the same household are not eligible to participate in the Giveaway. The Giveaway is subject to all applicable federal, state and local laws and regulations. Void where prohibited, restricted by ordinances, regulations or laws, or taxed.

Agreement to Rules: Complete unconditional agreement and acceptance of these Official Rules and any decisions from the Sponsor and Administrator is inherent, required, final and binding, made by participating by any means in this Giveaway. Disqualification of any entry will occur in the event of not fulfilling eligibility criteria or being non-compliant with the Official Rules. Do not enter this Giveaway if you are not a legal resident of the United States or are ineligible to enter per the Official Rules or any governing laws.

Promotion Period: The “Apothida Sign-Up” Giveaway (herein referred to as the “Giveaway”) starts on the Start Date of 12:30 a.m. Central Time on May 10, 2025 and ends on the End Date of 11:30 p.m. Central time on August 29, 2025, with the time between these two dates being the “Promotion Period.”

Methods of Entry: There are two (2) methods of entry to the Giveaway

1.       Register a free account with Apothida using the sign-up portal and inputting the required information truthfully, including, but not limited to, your first and last name, address, city, state, zip code, telephone number, email address, and date of birth. Finishing registration by the End Date of the Promotion Period will automatically grant one (1) entry to the entrant so long as the account is not cancelled by the End Date.

2.       Mail-in: Participants may submit one (1) entry via mail by hand-printing legibly on a 3 inch by 5 inch card/paper the name of the Giveaway (“Apothida Sign-Up Giveaway”), title it “Mail-in Entry”, and provide your first and last name, address, city, state, zip code, telephone number, email address, and date of birth, and mailing said card/paper in a hand-printed standard envelope with affixed proper postage to “Apothida Sign-Up Giveaway” - Efficacious Advertising LLC, 405 North Jackson Rd. #1025 Pharr, TX 78577. All mail-in entries must be postmarked by August 29, 2025 and received by September 7, 2025 to qualify for proper entry to Giveaway.

General Conditions: Entrants participating in this Giveaway by any means implicitly provide consent for Sponsor/Administrator to use any supplied information, including but not limited to identifying information, for the purpose of administering this Giveaway and any other purposes stated in these Official Rules. The Sponsor shall never be obligated to award more prizes than what has been stated as available in the Official Rules. Entrants to the Giveaway grant permission to the Sponsor/Administrator and the Apothida Platform to send notifications via email, phone, text message and mail; entrant may opt-out of any form of notification via the method listed in said notification. Upon submission, entries become exclusive property of the Sponsor/Administrator and will not be acknowledged or returned except where Administrator deems it necessary under their sole discretion. Financial charges and technical issues with entry submission or notifications due to internet, phone, or postage mail usage must be dealt with by the entrant and are not the responsibility of the Sponsor/Administrator. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CIVIL AND CRIMINAL LAWS; SPONSOR/ADMINISTRATOR WILL REPORT SUCH ACTIVITY TO THE PROPER AUTHORITIES AND RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY OFFENDING INDIVIDUAL OR GROUP TO THE FULLEST EXTENT PERMITTED BY LAW.

Grand Prize: One Grand Prize of $100 is available to be awarded to one selected Winner. The Sponsor has the sole discretion in how the Grand Prize will be conveyed, presented, and delivered to Winner. Prize is non-transferable and no substitution will be permitted except at Sponsor’s discretion. Prize must be accepted as awarded or be considered forfeit.

Prize Conditions: The Grand Prize Winner must sign and return to the Administrator an Affidavit of Eligibility, an Affidavit of Liability, and (where lawful) an Affidavit of Publicity within one week’s notice (7 days) of winning, as well as proof of identity. The Prize Winner may also be required to complete a W-9 IRS form. Please note that filling out the Affidavit and/or IRS form will require the Winner to pass along their Social Security Number to the Administrator, though this information is for tax reporting purposes only. By accepting the Grand Prize, the Winner inherently agrees to release and hold harmless the Sponsor/Administrator from and against any cause of action or claim due to participating in the Giveaway or acceptance or use of the Grand Prize. Acceptance of Grand Prize constitutes permission by Winner for Sponsor and Administrator to use Winner’s name, likeness and entry for purposes of advertising, promotion, and trade without further compensation, unless prohibited by law. Any and all local, state, and federal taxes as well as any costs or fees associated with accepting the Grand Prize are the sole responsibility of the Prize Winner. Sponsor/Administrator is not responsible for changes in prize amount, distribution or taxation due to any changes in tax regulations or laws. The receipt by winner of the prize offered in this Giveaway is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

Odds: The odds of winning Grand Prize in this Giveaway are dependent on the number of eligible entries received for the Giveaway.

Entrant Verification: Proof of identity and eligibility may be requested by the Administrator to verify accuracy in an entry to the Giveaway and confirmation of proper ties between an entry and the individual’s identity submitting the entry. Administrator reserves the right to accept said proof in any form found fit to do so (such as identification issued by a local, state or federal government or bills) in order to administer the Giveaway per the Official Rules. If an entrant fails to provide requested proof within a timely period outlined by the Administrator, they may be disqualified from the Giveaway per the Administrator’s sole discretion.

Winner Selection, Notification and Validation: Winner of the Giveaway will be selected by the administrator within one (1) week after End Date of the Giveaway in a random drawing from all eligible entries made by the End Date of the Giveaway. Winner will be notified via email to their email address entered in their Apothida account registration within five (5) days following winner selection. Administrator shall have no liability for a Winner's failure to receive notices due to Winner’s spam, junk e-mail or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If the winner has not responded to the email notifying them of their selection within two (2) days, a phone call to the phone number entered in the Apothida account registration will be attempted if available. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within seven (7) days of being originally emailed of winner selection, or fails to timely return a completed and executed Affidavits listed in the Prize Conditions section of the Official rules as required, in the Administrator’s sole and absolute discretion, the Winner may be disqualified from the giveaway, the Grand Prize may be forfeited and an alternate winner may be selected and notified in a similar random drawing as with the original Winner with the remaining eligible entries.

Disqualification: All entries must be made by the entrant identified in the entry personally. All entries must be provided with complete, truthful, comprehendible information and be submitted within the Promotion Period. Entries cannot be made through any automated means or service or through third-party unauthorized entity. Use of multiple accounts, identities or devices by an entrant is not allowed. Attempts to submit more than the allotted amount of entries per method by an entrant is not allowed. ANY ENTRY THAT DOES NOT COMPLY WITH THE OFFICIAL RULES WILL BE DISQUALIFIED AND THE ENTRANT MAY BE DISQUALIFIED FROM RE-ENTERING THE GIVEAWAY (PER THE ADMINISTRATOR’S SOLE DISCRETION). ADMINISTRATOR RESERVES THE RIGHT TO DISQUALIFY AND BAN ANY INDIVIDUAL OR GROUP FOUND TO PARTAKE IN ANY FRAUDULENT ACTIVITY IN CONNECTION WITH THIS GIVEAWAY.

Modification, Suspension and Termination: The Administrator, in its sole and absolute discretion, has the right to modify, suspend or terminate any of the Giveaway provisions as listed in the Official Rules to properly administer the Giveaway as it deems reasonable. Any modification, suspension or termination of a provision of the Official Rules would be required to be in writing and signed by the Sponsor/Administrator and filed accordingly. The Administrator also has the authority to fully suspend or terminate the Giveaway as a whole in the event it finds the prosecution of the Giveaway cannot be done fairly, legally, or as planned for any reason.

Severability and Conflicts: If any provision of these Official Rules is found to be illegal, unenforceable, or otherwise invalid, this shall not affect the legality, enforceability or the validity of any other provision in these Official Rules, the latter of which shall remain in effect. The Official Rules act as the ultimate governing and prevailing criteria and legal documentation, regardless of any inconsistency or discrepancy amongst any media or statements regarding the Giveaway made by the Sponsor/Administrator (including websites such as Apothida.com). Any term of these Official Rules the Sponsor/Administrator fails to enforce does not signify a waiver of that term, and the method of implementation of any provision is the sole discretion of the Administrator.

Disputes and Notice: This Giveaway is governed by the laws of the United States of America and Texas, without respect to conflict of law doctrines. Entrants to the Giveaway, by participating in any aspect of the Giveaway, agree to the Official Rules of the Giveaway and to the Terms and Conditions of the Apothida website. As well, entrants agree that any and all disputes that cannot be resolved between the entrant and the Sponsor/Administrator, and causes of action arising out of or connected with this Giveaway shall be resolved individually, without resort to any form of class action, exclusively before a court located in Hidalgo County, Texas having jurisdiction. Further, in any such dispute, under no circumstances will entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than entrant’s actual out-of-pocket expenses (i.e. costs associated with entering this Giveaway), and entrant further waives all rights to have damages multiplied or increased.

Limitations: Sponsor/Administrator is not responsible for any instances where an entry is unable to be entered, such as, but not limited to, being lost, damaged, undelivered, or late. In the event that the Giveaway is hindered from operating as planned for any reason beyond the Sponsor/Administrator’s control, such as, but not limited to, technical issues, tampering, fraud, natural events, or changing governmental regulations, under its sole discretion, the Sponsor/Administrator reserves the right to modify, suspend or terminate the Giveaway as it sees fit, without requiring the Grand Prize being awarded; the Sponsor/Administrator reserves the right, under its sole discretion, to choose a winner amongst available eligible entries (in a manner that best conforms to the Official Rules) received before such an event. Sponsor/Administrator is not responsible for inaccurate or incomplete information caused by other parties or equipment, whether by accidental technical or human error or intentional malicious activity.

Release and Limitation of Liability: As an absolute condition of participating in this Giveaway, all entrants must agree to indemnify, release, and hold harmless the Sponsor/Administrator from and against any and all liability, claims, damages, illness, injury, death, loss, defamation, invasion of privacy, litigation, or actions of any kind whatsoever that may occur, directly or indirectly, to persons or property, whether caused by negligence or not, in connection with any of the following:

1.       Entrant’s participation in this Giveaway and/or their acceptance, possession, use or misuse of any prize or any portion thereof

2.       Entrant’s access of Sponsor/Administrator’s websites

3.       Technical failures of any kind, including but not limited to malfunctioning of any computer, digital device, cable, network, hardware or software

4.       The inaccessibility or unavailability of any transmissions or telephone or internet service or mail service

5.       Unauthorized human intervention in any part of the entry process or the Giveaway

6.       Electronic or human error which may occur in the administration of the Giveaway or the processing of entries

Entrants must also agree that for any cause of action, the Sponsor/Administrator’s liability will not exceed the cost of participating in and entering the Giveaway, nor shall the Sponsor/Administrator be responsible for any attorney fees (where legally permitted). Entrants waive the right to claim any damages at all, including, but not limited to, direct, indirect, punitive or consequential damages (where legally permitted). Furthermore, entrants must agree that the Sponsor/Administrator is not liable for all or any portion of the Giveaway being modified, suspended, cancelled or terminated due to any condition beyond their control.

Release of Claims: There is a possibility that an entrant may discover, incur or suffer claims that were unsuspected or unknown to them following their participation in the Giveaway and adherence to the Official Rules, and knowing or suspecting of these claims may have influenced their decision to participate in the Giveaway. Section 1542 of the California Civil Code states “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” Entrant, upon participating in the Giveaway, must adhere to the Official Rules, including granting releases detailed in other provisions of the Official Rules and must assume any risk of unsuspected claims and unknown facts. Adherence to the Official Rules includes the entrant acknowledging advisement of Section 1542 of the California Civil Code and subsequent waiver of any and all rights it covers as well as any other local, state or federal statute of similar effect presently or coming into effect in the future in perpetuity.

Media Rights Granted by Entrant: By entering this Giveaway, entrant understands that Efficacious Advertising LLC, anyone acting on behalf of Efficacious Advertising LLC, or its respective licensees, successors and assignees will have the right (where permitted by law), without any further notice, review, or consent, to use, publish, and distribute worldwide any media now known or hereafter in perpetuity their entry, including without limitation, entrant’s name, portrait, video, voice, likeness, or statements about the Giveaway as news, publicity or information for trade, advertising, public relations and promotional purposes without further compensation.

Privacy Policy and Use of Data: Information submitted with an entry or per registration of an Apothida account is subject to the Privacy Policy of the Sponsor, which must be acknowledged to enter the Giveaway. Entrant grants consent (by entering the Giveaway) to the Sponsor to have, use, and transfer any information they provide to administer the Giveaway per the Official Rules. Said information shall only be handled by the Sponsor/Administrator (except where legally required for third parties or local, state, or national governmental agencies to be involved) and will not be given or sold to other companies.

Third Party Rights: This Giveaway is only sponsored, endorsed and administered by the Sponsor/Administrator. No other company or social media platform is affiliated with this Giveaway in any aspect.

Official Rules Request: One may request a copy of these Official Rules by sending a stamped, self-addressed envelope to “Apothida Sign-Up” Official Rules - Efficacious Advertising LLC, 405 North Jackson Rd. #1025 Pharr, TX 78577. Requests received after September 14, 2025 will not be returned nor honored.

Winner’s List: Announcement of the official winner of this giveaway will be made on Apothida.com after the giveaway has concluded and the winner has been verified. Requests received after October 1, 2027 will not be returned nor honored.
